Introduction and Eligibility

Please read these Terms of Use (“Terms”) carefully before using Molecule CloudRx.

This agreement is a legally binding contract. It may change as our business changes, and you agree you will review it and any updates regularly.

Binding Agreement

These Terms constitute a binding agreement between you and Molecule CloudRx Ltd, a company registered in England and Wales under company number 12320975, whose registered office is at 201 Temple Chambers, 3-7 Temple Avenue, London, United Kingdom, EC4Y 0DT (“Molecule CloudRx”, “we”, “us”). “You” and “users” shall mean (in each case as the context requires): (i) all healthcare practitioners and their agents who use Molecule CloudRx (“HCP Users”); and (ii) patients, and owners of animals, to whom we dispense medications, but solely in relation to the payment and delivery of those medications, and your use of our website (“Patient Users”). You accept these Terms by registering on our website at cloudrx.molecule.co.uk, and each time you access Molecule CloudRx thereafter, or when you complete a delivery order for medications with us (as applicable). If you do not accept these Terms, you must not use Molecule CloudRx.

Revisions to Terms

We may revise these Terms at any time by posting an updated version to this web page. We will give you reasonable advance notice of any material change by email. You should visit this page periodically to review the most current Terms. Your continued use of Molecule CloudRx after a change to these Terms takes effect constitutes your acceptance of these Terms.

Definitions

The terms “post” and “posting” as used in these Terms shall mean the act of submitting, uploading, publishing, displaying, or similar action on Molecule CloudRx.

“Health-related information” means all individually identifiable health information, including demographic information and information related to a patient’s physical or mental health, the provision of health care to the patient, or the patient’s payment for the provision of health care.

“Healthcare practitioner” means any person lawfully entitled to prescribe (an appropriate practitioner) under the Human Medicines Regulations 2012 or, for veterinary surgeons, the Veterinary Medicines Regulations 2013, who accesses and uses Molecule CloudRx.

The Molecule CloudRx Service

“Molecule CloudRx” is defined as any software under Molecule CloudRx’s control, whether partial or otherwise, in connection with Molecule CloudRx providing a platform for HCP Users to prescribe medication and to store and process health-related information about patients, as well as to store information about the HCP Users themselves in connection with the foregoing purposes, and for Patient Users to arrange for the payment and delivery of their prescribed medications, including the website cloudrx.molecule.co.uk through which the platform can be accessed.

Medical Advice (HCP Users)

Molecule CloudRx does not provide any prescribing services nor does Molecule CloudRx provide clinical oversight of the healthcare practitioners using our platform. We provide healthcare practitioners with a platform to do so. The information and materials available through the Molecule CloudRx prescribing system are not intended to constitute professional advice, diagnosis or treatment, or to substitute your professional judgment. You assume full risk and responsibility for the use of information you obtain from or through the Molecule CloudRx prescribing system. You will be solely responsible for the professional and technical services you provide to patients. In addition, we do not recommend or endorse any provider of health care or health-related products, items, or services other than the dispensing services provided through our affiliates.

You agree to comply with any additional terms required by our affiliates as necessary, to use parts of Molecule CloudRx.

Payment and Delivery Terms (Patient Users)

If you are a Patient User, you can pay us directly for medications prescribed by your healthcare practitioner (using our third party payment service providers) and arrange delivery of those medications. Delivery is performed by third party couriers.

You will own the medications once we have received payment for them in full. We will contact you by email or text to confirm we have received your payment. Our couriers may contact you by email and/or text with delivery updates.

The postage and packaging charge you will pay will be displayed on screen before you confirm your order to us.

A prescriber fee may apply to your order. If it does, it will be shown before you confirm your order.

In providing payment card details, you confirm that you are authorised to use the card and authorise us or our payment service provider to take payment in full for the items in your order, postage and packaging charges and any other charges that become due to us under these Terms.

Sometimes orders may be delayed due to delivery issues outside of our control.

Returns and Refunds (Patient Users)

Unfortunately, prescription medications can only be dispensed to the patient to whom they have been prescribed, and consequently you are unable to return or obtain a refund on your medications. This does not affect your statutory rights, including your right to a refund for medicines that are faulty, not as described, or not delivered.

Our Affiliates

Molecule CloudRx may include certain third-party software and services including Stripe. Your use of such software or services may require that you provide additional information to fulfil the dispensing service to patients. You agree to comply with and, upon request, provide such information.

Third-Party Access and Responsibility

Except as required by law and described below, you will not permit any third party to have access to Molecule CloudRx using your account. We have no liability for the consequences to you or your employees or agents from your or their use of Molecule CloudRx should you share your account details, howsoever arising.

While Molecule CloudRx has certain technical safeguards against misuse, you acknowledge it will rely to a substantial extent on your responsible use. You agree that we will not be responsible for any unlawful access to or use of Molecule CloudRx by any employee or agent to whom you give access, howsoever arising. You agree that you are responsible for ensuring that health-related information is controlled and protected in accordance with the applicable law.

Patient’s Consent for Data Collection and Use (HCP Users)

You represent and warrant that you have obtained the proper consents, authorisations, and releases from patients as required by applicable law before posting their health-related information on Molecule CloudRx.

Exporting Information from Molecule CloudRx (HCP Users)

You are solely responsible for any health-related information exported from Molecule CloudRx by you or the employees or agents to whom you allow access to your account, howsoever arising. Any such export must comply with applicable data protection legislation, including ensuring a lawful basis for disclosure and appropriate security measures.

Training and Compliance (HCP Users)

You agree to train all employees or agents on the use of Molecule CloudRx and health privacy obligations, and the requirements of these Terms and ensure that they comply with such requirements.

Compulsory Information Disclosure

You will promptly notify us of any order or demand for compulsory disclosure of health-related information if the disclosure requires access to or use of Molecule CloudRx. You will cooperate fully with us in connection with any such demand.

Molecule CloudRx Health-Related Information Practices

We may use and disclose health-related information to provide our services.

We may use anonymised and aggregated health-related information, meaning information that has been processed in such a way that individuals can no longer be identified, for lawful purposes such as service improvement and statistical analysis.

A description of our use of personal data, including health-related personal data, can be found in our Privacy Policy, which forms part of these Terms and is available at cloudrx.molecule.co.uk/legal/privacy. A description of the measures we use to secure personal data, including health-related personal data, can be found in our Data Security policy, which is available at cloudrx.molecule.co.uk/legal/data-security.

Use and Disclosure

We may use and process the health-related information posted to Molecule CloudRx for the proper management, provision, and administration of Molecule CloudRx and our business, and as required by law. We may also disclose health-related information if required by law or we obtain reasonable assurances from the recipient that such information will be held confidentially and used or further disclosed only as required by law or for the purpose for which we disclosed it. You agree that Molecule CloudRx may use and share health-related information anonymised in accordance with the UK GDPR to the fullest extent permitted by law.

Data Controller and Processor Roles

For the purposes of the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018:

• Molecule CloudRx acts as a “data controller” in respect of personal data it collects directly from Patient Users and healthcare practitioner users for the operation of its platform and services (e.g. account management, billing, dispensing, and regulatory compliance).
• Molecule CloudRx may act as a “data processor” in respect of health-related information processed on behalf of healthcare practitioners using the prescribing system. In such cases, Molecule CloudRx will process such data only in accordance with the instructions of the healthcare practitioner and in compliance with Article 28 UK GDPR

Data Transfers at Your Request

We only transfer health-related information to third parties (a) to technology service providers who host data on our behalf, (b) as required to process patient billing and delivery, and (c) at your request. You authorise us to make such transfers upon the request of you and the users who are acting through your account. You acknowledge that when you consent to transferring the information to third parties, we have no control over how those third parties will use and/or disclose the information.

Appropriate Safeguards

We will use appropriate safeguards to prevent the use or disclosure of health-related information other than as provided for by these Terms, including administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of the information. A description of the measures we use to secure personal data, including health-related personal data, can be found in our Data Security policy, which is available at cloudrx.molecule.co.uk/legal/data-security. These safeguards include encryption in transit and at rest, access controls, audit logging, and regular penetration testing.

Security Incident

We will report to HCP Users any discovered use or disclosure of health-related information not provided for by these Terms, or when we determine that unauthorised access to health-related information has occurred (“Security Incident”), and we will cooperate reasonably with you to investigate and mitigate any such breach. We will also report Security Incidents to Patient Users where required to do so by applicable law.

Where we act as data controller, we will notify the Information Commissioner’s Office (ICO) of a personal data breach without undue delay and, where feasible, within 72 hours of becoming aware of it, unless the breach is unlikely to result in a risk to the rights and freedoms of individuals. Where required, we will also notify affected individuals without undue delay.

Where we act as data processor, we will notify the relevant prescriber (as data controller) of a personal data breach without undue delay and assist them in meeting their obligations.

Our Agents

We will ensure that any of our agents, suppliers and vendors to whom we provide personal data for the purposes of assisting us in providing our services, agree to the same restrictions and conditions that apply to us with respect to such information, including the obligation to implement reasonable and appropriate safeguards.

Access and Amendment

In line with our Privacy Policy and Data Security policy, we will facilitate your requirements to provide your employees or agents access and the ability to amend health-related information you post to Molecule CloudRx.

Individuals whose data we hold have rights of access, rectification, erasure, restriction, and data portability under UK GDPR. Requests to exercise these rights can be made by contacting us at pharmacy@cloudrx.co.uk. Where we act as data processor, requests will be passed to the relevant prescriber as data controller.

Audits

In line with our accountability obligations under the UK GDPR, we will make available the information necessary to demonstrate compliance with our obligations in relation to health-related information. All access will be in line with our Privacy Policy and Data Security policy.

Retention and Deletion

Molecule CloudRx retains personal data only for as long as necessary to fulfil the purposes set out in these Terms and to comply with legal, regulatory, and professional obligations. Retention periods are set out in our Privacy Policy.

Molecule CloudRx retains the information you post to it for compliance and regulatory purposes and will cooperate with you regarding requests to delete information. We will provide you copies of health-related information in electronic form if you decide to terminate your use of Molecule CloudRx.

Upon termination, Molecule CloudRx will retain the records it is required to keep for regulatory periods and will securely delete or anonymise the remaining personal data in accordance with its retention policy and legal obligations.

Termination

At the termination of the service, we will provide you with a copy of health-related information in an electronic form that is accessible through commercially available hardware and software. We will continue to abide by these Terms pertaining to such information and limit further usage and disclosures of health-related information in line with our legal obligations. Records we are required to keep for regulatory periods will be retained as set out in our Privacy Policy.

Account Creation and Secure Credentials

We will take steps to verify that you are a registered healthcare practitioner.

Every user must have their own individual log-in credentials, and only the prescriber may sign prescriptions. You are responsible for your log-in credentials and for keeping your account information accurate.

You are responsible for any activity resulting from the use of your log-in credentials on Molecule CloudRx.

User accounts and log-in credentials are available to healthcare practitioner users only. Where you are a Patient User, you can view details of your repeat prescriptions and change/edit your delivery date at any time via a unique webpage.

Owner of Account and Health-Related Information

The primary account holder (i.e., the healthcare practitioner) holds the legal rights and obligations to and in connection with the Molecule CloudRx account and the information posted to Molecule CloudRx by your business entity.

Accurate Account Information

You represent and warrant that the information you provide to Molecule CloudRx or its service providers upon registration, when arranging delivery and making payments, and at all other times will be true, accurate, current, and complete. You also represent and warrant that you will ensure that this information is kept accurate and up to date at all times.

Verification (HCP Users)

Molecule CloudRx is regulated by the General Pharmaceutical Council (GPhC). We verify that healthcare practitioner users are appropriately registered and authorised to prescribe. You agree that we may take steps to verify your identity and credentials as a healthcare practitioner at any time. You agree that we may use and disclose information, including “Confidential Information” about you for such purposes, including making enquiry of third parties concerning your identity and professional and practice credentials. You authorise such third parties to disclose to us such information as we may request for such purposes, and you agree to hold them and us harmless from any claim or liability arising from the request for or disclosure of such information. You agree that we may terminate your access to Molecule CloudRx at any time if we are unable to determine or verify your qualifications or credentials.

Protecting Your Log-In Credentials

As a registered user, you will have log-in information, including a username and password. Your account is personal to the primary account holder, and you may not share your account and log-in information with, or allow access to your account by, any third party. As you will be responsible for all activity that occurs under your account and access credentials, you should take care to preserve the confidentiality of your username and password, and any device that you or your employees, servants or agents use to access Molecule CloudRx.

You agree to notify us immediately of any breach in secrecy of your log-in information. If you have any reason to believe that your account information has been compromised or that your account has been accessed by a third party, you agree to immediately notify Molecule CloudRx by email at pharmacy@cloudrx.co.uk. You will be solely responsible for the losses incurred by Molecule CloudRx and others (including patients) due to any unauthorised use of your account that takes place prior to notifying Molecule CloudRx that your account has been compromised.

Communications

You agree to receive communications from Molecule CloudRx through the email address you provide to us for informational and customer service-related purposes.

Electronic Notices

By using Molecule CloudRx or providing personal data to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use of Molecule CloudRx. If we learn of a security breach, we may attempt to notify you electronically by email. You may have a legal right to receive this notice in writing. To receive free written notice of a security breach (or to withdraw your consent from receiving electronic notice), please write to us at pharmacy@cloudrx.co.uk

Molecule CloudRx Content Ownership and Use

Molecule CloudRx owns all of the content we create, but you may use it while you use the Molecule CloudRx platform. You cannot use our logo without our written permission.

The contents of Molecule CloudRx include: designs, text, graphics, images, video, information, logos, button icons, software, audio files, computer code, and other Molecule CloudRx content (collectively, “Molecule CloudRx Content”). All Molecule CloudRx Content and the compilation (meaning the collection, arrangement, and assembly) of all Molecule CloudRx Content are the property of Molecule CloudRx or its licensors and are protected under copyright, trademark, and other laws.

Licence

We authorise you, subject to these Terms, to access and use Molecule CloudRx and Molecule CloudRx Content solely for the use of services provided through Molecule CloudRx, at our discretion. Any other use is expressly prohibited. This licence is revocable at any time without notice and with or without cause. Unauthorised use of Molecule CloudRx Content may violate copyright, trademark, and applicable communications regulations and statutes and is strictly prohibited. You must preserve all copyright, trademarks, service marks, and other proprietary notices contained in the original Molecule CloudRx Content on any copy you make of Molecule CloudRx Content.

Molecule CloudRx Marks

Molecule CloudRx, the Molecule CloudRx logo, and other Molecule CloudRx logos and product and service names are or may be trademarks of Molecule CloudRx (the “Molecule CloudRx Marks”). Without our prior written permission, and except as solely enabled by any link as provided by us, you agree not to display or use in any manner the Molecule CloudRx Marks.

Confidential Information

“Confidential Information” means all confidential information disclosed by a party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Your Confidential Information shall include the data you post to Molecule CloudRx; Molecule CloudRx Confidential Information shall include Molecule CloudRx, customer feedback, and information relating to the performance, reliability, or stability of Molecule CloudRx operations, know-how, techniques, processes, ideas, algorithms, and software design and architecture; and Confidential Information of each party shall include business and marketing plans, technology and technical information, product plans and designs, and business processes disclosed by such party. However, Confidential Information shall not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party.

Protection of Confidential Information

The Receiving Party shall (i) use the same degree of care that it uses to protect the confidentiality of its own confidential information of like kind (but in no event less than reasonable care), (ii) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of these Terms, and (iii) except as otherwise authorised by the Disclosing Party in writing, limit access to Confidential Information of the Disclosing Party to those of its and its affiliates’ employees, contractors and agents who need such access for purposes consistent with these Terms and who have signed confidentiality agreements with the Receiving Party containing protections no less stringent than those herein.

Compelled Disclosure

The Receiving Party may disclose Confidential Information of the Disclosing Party if it is compelled by law to do so (a “Compelled Disclosure”), provided the Receiving Party gives the Disclosing Party prior notice of such Compelled Disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party’s cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to such Confidential Information.

Intellectual Property Rights and Your Licence to Use

You, or the people who allow you to use their content, own all of the content you create using Molecule CloudRx. However, we may use the statistical data to review and adapt Molecule CloudRx and for marketing purposes.

It is very important that you have permission to use other people’s content or they may be able to sue you for violating their legal rights.

Ownership of User Content

Molecule CloudRx may provide you with the ability to create, post, or share content (“Your User Content”). Molecule CloudRx claims no ownership over Your User Content. You or a third-party licensor, as appropriate, retain all copyright, patent, and trademark rights to any of the content you post on or through Molecule CloudRx. You are responsible for protecting those rights. Your User Content does not include health-related information or patient personal data.

Molecule CloudRx’s Use of Posted Content

By creating, posting, or sharing Your User Content on or through Molecule CloudRx, and subject to Molecule CloudRx’s Privacy Policy, you grant Molecule CloudRx the right to use Your User Content only to provide the service, on the prescriber’s instructions. You waive any rights you may have regarding Your User Content being altered or manipulated in any way that may be objectionable to you. Molecule CloudRx reserves the right to refuse to accept, post, display, or transmit any User Content in its sole discretion.

Ownership of Others’ Content

You understand and agree that you will not obtain, as a result of your use of Molecule CloudRx, any right, title, or interest in or to such content delivered via Molecule CloudRx or in any intellectual property rights (including, without limitation, any copyrights, patents, trademarks, trade secrets, or other rights) in the content.

Content Rights

You represent and warrant that (i) you own the content posted by you on or through Molecule CloudRx or otherwise have the right to grant the licence set forth in these Terms, (ii) the posting and use of Your User Content on or through Molecule CloudRx does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person, and (iii) the posting of Your User Content on Molecule CloudRx does not result in a breach of contract between you and a third party. You agree to pay all fees and any other monies owed as a result of content you post on or through Molecule CloudRx. Except as provided within these Terms, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any content appearing on or through Molecule CloudRx.

Copyright Policy

You must let us know if you think a user has violated your copyright using Molecule CloudRx, or if you think someone incorrectly reported that you violated his or her copyright.

If you believe that materials posted on Molecule CloudRx infringe your copyright, you may send Molecule CloudRx a notice requesting that the material be removed, or access to it blocked. The notice must include the following information:

1. A physical or electronic signature of a person authorised to act on behalf of the owner of the works that have been allegedly infringed;
2. Identification of the copyrighted work alleged to have been infringed (or if multiple copyrighted works located on Molecule CloudRx are covered by a single notification, a representative list of such works);
3. Identification of the specific material alleged to be infringing or the subject of infringing activity, and information reasonably sufficient to allow Molecule CloudRx to locate the material on the Molecule CloudRx platform;
4. Your name, address, telephone number, and email address (if available);
5. A statement of truth that the information in the notification is accurate and that the complaining party is authorised to act on behalf of the owner of an exclusive right that is allegedly infringed.

User Content Disclaimers, Limitations, and Prohibitions

We do not represent or guarantee the accuracy, or reliability of content, posted by users (“User Content”). You accept that any reliance on material posted by other users, vendors, or suppliers will be at your own risk. Nothing in this clause limits or excludes any liability that cannot legally be limited or excluded.

You agree to use the Molecule CloudRx platform only for its intended purpose. You must use Molecule CloudRx in compliance with all privacy, data protection, intellectual property, and other applicable laws. The following uses of Molecule CloudRx are prohibited. You may not:

1. aggregate, copy, or duplicate any Molecule CloudRx Content, except as needed to use the service;
2. use data mining, robots, or other data-gathering devices on the Molecule CloudRx platform;
3. remove, disable, damage, circumvent, or otherwise interfere with the security of the Molecule CloudRx platform;
4. interfere or attempt to interfere with the proper working of the Molecule CloudRx platform;
5. gain unauthorised access to the Molecule CloudRx platform or linked systems;
6. create an unauthorised link to the Molecule CloudRx platform;
7. attempt to submit, or submit a virus to the Molecule CloudRx platform;
8. take any action imposing an unreasonable or disproportionately large load on Molecule CloudRx’s infrastructure;
9. intercept, examine, or otherwise observe any proprietary communications or facilitate, create, or maintain any unauthorised connection to the Molecule CloudRx platform;
10. attempt to or obtain unauthorised access to other users’ accounts;
11. sell, transfer, or assign any of your rights to use the Molecule CloudRx platform to a third party without our express written consent;
12. use an account that has been sold, transferred, or assigned to you from a Molecule CloudRx user without our express written consent;
13. use the Molecule CloudRx platform in a manner that results in or may result in complaints, disputes, claims, fines, penalties, and other liability to Molecule CloudRx or others;
14. use the Molecule CloudRx platform for transactions involving illegal activities or what Molecule CloudRx reasonably believes to be potentially fraudulent activity;
15. use the Molecule CloudRx platform in an illegal way or to commit an illegal act;
16. create multiple registrations for any reason without Molecule CloudRx’s prior consent; or
17. control an account if another account controlled by you has performed these activities or otherwise breached these Terms resulting in account suspension or termination.

Consequences of Violating These Terms

If you do not act acceptably, we may refuse to provide you access to the Molecule CloudRx platform. Where reasonably possible, we will give you notice of suspension or termination and the reasons for it, unless immediate suspension is required by law or to protect the security of the platform.

We reserve the right to suspend or terminate your account and prevent access to the Molecule CloudRx platform for any reason, at our discretion. We reserve the right to refuse to provide Molecule CloudRx to you in the future.

You are responsible for any claims, fees, fines, penalties, and other liability incurred by us or others caused by or arising out of your breach of these Terms and your use of the Molecule CloudRx platform.

Molecule CloudRx’s Liability

We are not responsible for acts or omissions of users of the Molecule CloudRx platform except where we are legally required to do so. However, this does not affect our responsibility to provide our services with reasonable care and skill and in accordance with statutory obligations.

Changes to Molecule CloudRx

We may change, suspend, or discontinue any aspect of the Molecule CloudRx platform at any time, including hours of operation or availability of the Molecule CloudRx platform or any feature.

User Disputes

We are not responsible for any disputes or disagreements between you and any third party with whom you interact using the Molecule CloudRx platform, including any speech-to-text providers. We are also not responsible for disputes or disagreements between you and any patient with or for whom you have used the Molecule CloudRx platform. You assume all and any risks associated with dealing with third parties. You agree to resolve disputes directly with the other party. You release Molecule CloudRx of all claims, demands, and damages in disputes among users of the Molecule CloudRx platform. You also agree not to involve us in such disputes. Use caution and common sense when using the Molecule CloudRx platform.

This release does not apply where we have failed to comply with our legal obligations or where exclusion of liability would be unlawful.

Content Accuracy

We make no representations about accuracy, reliability, completeness, or timeliness of any contents of the Molecule CloudRx platform, including health-related information. Similarly, we make no representations about accuracy, reliability, completeness, or timeliness of any data from third-party vendors or suppliers, such as data resulting from the speech-to-text functionality, or the quality or nature of third-party products or services obtained through the Molecule CloudRx platform. Use the Molecule CloudRx platform at your own risk.

We take reasonable steps to ensure that the information we provide directly (excluding third-party content) is accurate and up to date at the time of publication.

Where our website contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of those sites or resources.

Released Parties

“Released Parties” include Molecule CloudRx and our affiliates, officers, employees, servants, agents, partners, and licensors.

A. Disclaimer of warranties

You use the Molecule CloudRx platform at your own risk. We make no warranties or guarantees.

You expressly understand and agree that (a) your use of the Molecule CloudRx platform is at your sole risk, and the Molecule CloudRx platform is provided on an “as is” and “as available” basis and the released parties expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, warranties as to products or services offered by businesses listed on the Molecule CloudRx platform, implied warranties of satisfactory quality, fitness for purpose, and non-infringement; (b) the released parties make no warranty that (i) the Molecule CloudRx platform will meet your requirements, (ii) the Molecule CloudRx platform will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Molecule CloudRx platform will be accurate or reliable, (iv) the quality of any goods or service available on the Molecule CloudRx platform will meet your expectations, (v) any errors in the service will be corrected; and (c) any material downloaded or otherwise obtained through the use of the Molecule CloudRx platform is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from the download or use of any such material.

Nothing in these Terms affects any rights you may have under law, including your right to receive a service that is provided with reasonable care and skill, or remedies available under the Consumer Rights Act 2015.

B. Limitation of liability and indemnification

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

If you use the Molecule CloudRx platform in a way that causes us to be included in litigation, you agree to pay all of our legal fees and costs.

Except as set out above, our total aggregate liability to you arising under or in connection with these Terms or the use of Molecule CloudRx shall be limited to the greater of (i) £250 or (ii) the total amount you have paid to Molecule CloudRx in the 3 months preceding the claim. You expressly understand and agree that the released parties shall not be liable to you or your patients for any indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Molecule CloudRx has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Molecule CloudRx platform; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services obtained or messages received or transactions entered into through, from, or as a result of Molecule CloudRx; (iii) unauthorised access to or alteration of your transmissions or data; (iv) statements or conduct of any user or third party on the Molecule CloudRx platform; (v) your reliance on content made available by us; or (vi) any other matter relating to Molecule CloudRx.

You agree to defend, indemnify, and hold harmless the Released Parties from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) your use of or reliance on any third-party content, (ii) your use of or reliance on any Molecule CloudRx Content or the use of the Molecule CloudRx platform, (iii) any activity on the Molecule CloudRx platform under your log-in credentials, or (iv) your breach of these Terms. We shall provide notice to you promptly of any such claim, suit, or proceeding. Your indemnity obligations do not apply to the extent that any loss or damage results from our negligence, fraud, or breach of statutory duty.

Prescriber Fees (HCP Users)

The prescriber fee feature on Molecule CloudRx allows prescribers to automatically add either a Flat Fee or Percentage fee on to every prescription that is submitted through Molecule CloudRx.

Once enabled, all the prescriber needs to do is submit a prescription as normal, and the platform will automatically add this to the prescription cost. This fee is paid by the patient and later transferred to the clinic or prescriber.

You cannot use both the Flat Fee and the Percentage fee, our platform allows one or the other.

As of 1 August 2026, the HCP User may, at its sole discretion, apply an additional prescriber fee to any prescription submitted for fulfilment, as a means of generating additional revenue for the HCP User. A prescriber fee may be set either as a fixed monetary amount (in pounds sterling) or as a percentage of the prescription value, as determined by the HCP User. Any such prescriber fee is charged to the patient at the point of order, collected by Molecule CloudRx through its patient-facing payment infrastructure, and remitted to the HCP User in accordance with this clause.

A handling charge of 1% shall apply to all prescriber fees processed under these Terms. This handling charge is levied to cover the payment card processing costs incurred by Molecule CloudRx and the cost of transferring the collected prescriber fees back to the HCP User. The 1% handling charge applies solely to prescriber fees and does not apply to the prescription dispensing fee, the delivery charge, or any other element of the order. The handling charge is deducted from the prescriber fee, and the net balance is remitted to the HCP User.

The figures above are illustrative only. The 1% handling charge is calculated on, and deducted from, the prescriber fee in the same manner whether that fee is expressed as a fixed amount or as a percentage of the prescription value.

General Terms

These Terms, together with the documents referred to in them, constitute the entire agreement between you and Molecule CloudRx concerning your use of the Molecule CloudRx platform. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. The section titles and annotations in these Terms are for convenience only and have no legal or contractual effect.

If you are a consumer, nothing in these Terms affects your statutory rights under UK law, including those under the Consumer Rights Act 2015.

No one other than us or you has any right to enforce any of these terms. A person who is not a party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

Force Majeure

We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control.

Assignment

We may transfer our rights and obligations under these Terms to a third party at any time. Where this happens, we will take all reasonable steps to notify you of the transfer. Any such transfer may include the transfer of your data to that third party.

Governing law

These Terms and all non-contractual relationships between you and Molecule CloudRx shall be governed by and construed in accordance with the laws of England and Wales. If you are a consumer resident in Scotland or Northern Ireland, you may choose to bring legal proceedings in your local courts as permitted by law.

Subject to the right of consumers resident in Scotland or Northern Ireland to bring proceedings in their local courts, all disputes with the Released Parties arising out of or relating to your use of Molecule CloudRx or these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
